Terms of Use

These Terms are subject to change by Coditect at any time. When changes are made, we will update the "Last updated" date above and post the revised Terms on the Site. Changes are effective thirty (30) days after posting for existing users. Your continued use of the Site or Services after changes become effective constitutes acceptance of those changes.
1. Use of Our Site and Services
Subject to these Terms, Coditect grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Site and Services for your own internal business purposes. Coditect reserves the right to modify, suspend, or discontinue the Site or Services (or any part thereof) at any time, with or without notice.
2. Intellectual Property
All content on the Site, including text, graphics, logos, images, software, and the underlying technology, is the property of AZ1.AI Inc. or its licensors and is protected by United States and international intellectual property laws.
- Trademarks. "Coditect," the Coditect logo, and all related names, logos, and service marks are trademarks of AZ1.AI Inc. and may not be used without prior written permission.
- Restrictions. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written consent.
3. User Conduct
As a condition of use, you agree not to use the Site or Services for any purpose that is prohibited by these Terms or applicable law. You shall not:
- Infringe any patent, trademark, trade secret, copyright, or other right of any person or entity
- Upload or transmit content that is unlawful, threatening, abusive, defamatory, or fraudulent
- Attempt to interfere with the proper functioning of the Site, including by introducing viruses, overloading, flooding, or spamming
- Use manual or automated means to scrape, crawl, or spider any pages on the Site
- Impersonate any person or entity, including any Coditect employee or representative
- Use the Site for any unauthorized commercial purpose
4. Data Ownership and AI Usage
Coditect is an AI orchestration platform. The following terms apply to data processed through our Services:
- Your Data. You retain all rights to any data, content, or information you provide to or through the Services ("Your Data"). We do not claim ownership of Your Data.
- No Training on Your Data. We do not use Your Data to train machine learning models, generative AI systems, or any other automated systems, unless you provide explicit written consent for a specific use case.
- De-identified Data. We may create aggregated, de-identified, and anonymized data derived from your use of the Services. Such data cannot be used to identify you and may be used for research, analytics, and service improvement purposes.
- Data Processing. We process Your Data solely to provide and improve the Services as described in our Privacy Policy.
5. Feedback
Any ideas, suggestions, or proposals you submit to Coditect ("Feedback") are provided at your own risk. You grant Coditect a fully paid, royalty-free, perpetual, irrevocable, worldwide, non-exclusive license to use, reproduce, modify, and commercially exploit any Feedback in connection with the operation and maintenance of our business.
6. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. CODITECT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
CODITECT DOES NOT WARRANT THAT: (1) THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS; (2) THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (3) THE RESULTS OBTAINED FROM USE OF THE SITE OR SERVICES WILL BE ACCURATE OR RELIABLE; OR (4) ANY ERRORS IN THE SITE OR SERVICES WILL BE CORRECTED.
7. Limitation of Liability
IN NO EVENT SHALL CODITECT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
CODITECT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO CODITECT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
8. Indemnification
You agree to indemnify and hold harmless Coditect and its officers, directors, employees, agents, and affiliates from any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your violation of any applicable laws, rules, or regulations.
9. Term and Termination
These Terms are effective from the date you first access the Site and remain in effect until terminated. Coditect may terminate or suspend your access to the Site or Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Site and Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitation of liability.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
11. Dispute Resolution and Arbitration
You agree that any dispute or claim relating to your use of the Site or Services, or to any aspect of your relationship with Coditect, will be resolved by binding arbitration rather than in court, except that: (1) you may assert claims in small claims court if they qualify; and (2) either party may seek equitable relief in court for infringement or misuse of intellectual property rights.
- Arbitration Rules. The Federal Arbitration Act governs the interpretation and enforcement of this section. Arbitration will be conducted by JAMS under its then-current Streamlined Arbitration Rules for claims under $250,000, and Comprehensive Arbitration Rules for all other claims.
- Individual Basis Only. All claims must be arbitrated on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding.
- Jury Trial Waiver. You and Coditect waive any constitutional and statutory rights to sue in court and have a trial before a judge or jury.
- Opt-Out. You may opt out of this arbitration agreement by sending written notice to matias@az1.ai within 30 days of first becoming subject to these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.
12. General Provisions
- Electronic Communications. You consent to receive communications from Coditect electronically. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
- Assignment. You may not assign or transfer these Terms or your rights hereunder without Coditect's prior written consent. Coditect may assign these Terms without restriction.
- Force Majeure. Coditect shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, or shortages of transportation, facilities, fuel, energy, labor, or materials.
- Export Control. You may not use or export any content or services from the Site except as authorized by United States law and the laws of the jurisdiction in which you reside. The Site and Services may not be exported or re-exported to any United States embargoed countries or to anyone on the U.S. Treasury Department's Specially Designated Nationals list or the U.S. Department of Commerce's Denied Persons List.
- Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be construed to reflect the original intention of the parties, and the remaining provisions shall remain in full force and effect.
- Waiver. Any failure to enforce any provision of these Terms on one occasion shall not be deemed a waiver of that provision or any other provision on any other occasion.
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coditect with respect to the Site and Services and supersede all prior agreements.
- Limitation Period. Any cause of action arising out of or related to these Terms or the Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
